Steven Gersz, Esq.

From mergers and acquisitions to emerging technology companies, Steve has immersed himself in business and corporate law his entire legal career. Steve is a partner and immediate past chair of the firm's Corporate & Business Practice Group, and has extensive experience in the organization and development of business and professional entities; mergers, acquisitions and dispositions; equity and debt financings; and federal and state securities law.  Steve is adept at using his expertise in corporate law and his experience in business transactions to find creative solutions in business dispute and divorce matters.

As both an attorney and a community volunteer, Steve is actively involved in healthcare matters. He has represented physicians, medical groups and other health care providers on a wide variety of legal matters.

Steve instructs other attorneys in corporate practice matters as the author of the 2020 LexisNexis® AnswerGuide™ New York Business Entities and is an Editorial Board Member and revision author for White New York Business Entities, a preeminent law treatise which provides an in-depth statutory and case law analysis of the New York Business Corporation Law, Limited Liability Company Law, Partnership Law and Not-for-Profit Corporation Law.

Professional and Community Involvement

Steve currently serves on the Boards of Directors of both Jewish Senior Life and Jewish Senior Life Foundation. He is also a Director of the Venture Jobs Foundation and the Park Square South Homeowners Association. Steve has previously served as chair of The Jewish Home of Rochester, president of the Mental Health Association of Rochester and Monroe County, as a member of the Board of Directors of Temple Beth El, and as past chair of the Business Law Section of the Monroe County Bar Association. 

Awards and Recognitions

Steve was named to the 2013-2020 editions of Best Lawyers in America®, and was honored with their 2017 and 2019 Rochester "Lawyer of the Year" designation for Closely Held Companies and Family Businesses Law.  He was also selected a 2008-2015, 2018 and 2019 Upstate New York Super Lawyer. The Super Lawyer group represents the top 5% of attorneys in Upstate New York who have attained a high degree of peer recognition and professional achievement. Steve is a past recipient of the Rochester Business Journal's Forty Under 40 Award, an annual tribute to emerging leaders of Rochester.

Jillian Farrar, Esq.

Jillian combines creativity and pragmatism to resolve disputes associated with commercial litigation, bankruptcy, collections, foreclosures and creditors’ rights. She is well-versed in working with the issues facing creditors and her ability to communicate complex legal concepts enables clients to understand all the options available to them. From litigating complex commercial disputes to negotiating a beneficial repayment agreement, Jillian strives to achieve the best possible outcome for her clients.

Jillian brings a high level of energy and dedication in her representation of clients’ interests and provides a tough and resourceful ally. She employs all of her talents to further the interests of her clients.

Before joining Underberg & Kessler, Jillian was the bankruptcy attorney at Shapiro, DiCaro & Barak LLC. She also served as the Form and Accuracy Editor of the Syracuse Law Review.

Professional and Community Involvement

Jillian is a member of the Board of Directors for Kirkhaven Transitional & Long-Term Care.  She is a founding member of the Western District of New York Federal Bar Association, a member of the Monroe County Bar Association, and a member the MCBA Bankruptcy Committee.
